Transactions services departement

Through its Transactions Services department, GMBA carries out financial due diligence of SMEs on behalf of the acquirer or seller, which aims to :

  • Perform an in-depth analysis of the financial situation of the company involved in the transaction
  • Anticipate and reduce the financial risks associated with the transaction
  • Identify value-creation opportunities as well as the short and long-term challenges associated with the transaction
  • Provide the information needed to guide and inform negotiations

Our approach includes:

  1. A 360° diagnostics of the company to understand the business and the key points of the transactions, and
  2. A financial analysis to assess the quality of the financial information and gain a clear understanding of the company’s profitability.

These two core parts of our work comprise various steps:

  • In-depth study of the macro-economic context
  • Analysis of historical and forecast normative profitability
  • Analysis of the historical balance sheet
  • Review of intangible assets
  • Analysis of net debt and cash-flow

Financial Due Diligence may be supplemented where necessary by the following thematic reviews:

  • A tax review
  • A social / HR review
  • A legal review
  • A review of information systems
  • etc.

Indeed, we can mobilize specialists in various fields: Tax, HR specialists, Lawyers, …
